ARTICLE 1 - NAME

The name of the organization shall be the Inland Northwest Chapter of the Acoustical Society of America.

ARTICLE 2 - PURPOSES

The purposes of this Chapter are to stimulate interest in acoustics; encourage acoustical research; diffuse the knowledge of acosutics and promote its practical applications; and to provide a forum wherin the technical and scientific aspects of acoustics and related disciplines can be examined, and otherwise explored.

ARTICLE 3 - AFFILIATION

This Chapter is formed under the auspices of the Acousticsl Society of America and shall operate within the applicable Bylaws of the parent society. This Chapter shall not affiliate with any other organization without first obtaining the written approval of the Acoustical Society of America.

ARTICLE 4 - MEMBERSHIP

Any member in good standing of the Acoustical Society of America or any other person who subscribes to the purposes of this Chapter may be admitted to membership as prescribed in the Bylaws.

ARTICLE 5 - OFFICERS AND EXECUTIVE COMMITTEE

The Chapter shall elect a President, a Vice President, a Secretary, a Treasurer, and other officers, as prescribed in the Bylaws. At least Half of the officers shall be members in good standing of the Acoustical Society of America.

The governing body shall be the Executive Committee, which shall consist of the officers, the Chapter Representative to the Acoustical Society of America, and the retiring President.

ARTICLE 6 - BYLAWS

The function and objectives of the Chapter as set forth in this document shall be carried out in accordance with the Bylaws appended herto.

ARTICLE 7 - AMENDMENT

This Chart may be altered or amended by a two-thirds vote of the Chapter Representatives voting, in person or by proxy or by absentee ballot, at a scheduled business meeting of the Acoustical Society of America Committee on REgional Chapters, provided that
  1. approval of the proposed change has been obtained form the Exectuve Council of the Acoustical Society of America at least thirty days previously and
  2. notice of the proposed change and of the meeting at which it is to be considered has been given to all chapters at least twenty days previously.
ARTICLE 8 - INACTIVATION

If the Chapter fails to hold any technical meetings for a period of at least one year, the Chair of the Committee on REgional Chapters of the Acoustical Society of America may recommend to the Executive Council of the Acoustical Society of America that the Chapter be inactivated. If the Chapter is inactivated by the Executive Council, funds in the Chapter accounts and other Chapter property shall revert to the Acoustical Society of America. Reverted funds and property shall be returned to the Chapter if it is reactivated within five years.
