ARTICLE 1 - MEMBERSHIP

Section 1 - Elegibility
Any Honorary Member, Fellow, Member, Associate, or Student Member of the Acoustical Society of America in good standing and any other person engaged or interested in the field of acoustics who subscribes to the aims and purposes of this chapter shall be elegible to become a member.

Section 2 - Admission to Membership
Eligible persons shall become members of this Chapter upon approval of an application to the Chapter Executive Committee and payment of the prescribed dues.

Section 3 - Classification of Membership
In addition to Regular Members of the Chapter, the Chapter Executive Committee may designate the following classifications for the purpose of assessing dues: Student Member and Retired Member. Aplicants may be assigned to Student or Retired status upon request, provided the applicant meets reasonable student or retiored criteria established by the Executive Committee.

Section 4 - Termination of Membership
Membership in the Chapter may be terminated at any time by written resignation or by two-thirds majority vote of the Chapter Executive Committee. Failure to pay chapter dues for one year may be deemed sufficient cause for such action.

Section 5 - Dues
The annual dues of the Chapter shall be established by the Chapter Executive Committee. The dues may vary according to the classsification noted in Section 3.

ARTICLE 2 - MEETINGS

Section 1 - Technical Meetings
A minimum of two technical meetings per year shall be held. The number of technical meetings, including field trips to acoustical facilities, shall be established by the Chapter Executive Committee. Technical meetings hall be called by the President, based upon the recommendatons of the Chapter Executive Committee or other duly appointed committees from the membership.

Section 2 - Business Meetings
The annual business meeting and electio of officers shall take place in the spring of the year. The annual business meeting may be held concurrently with a scheduled technical meeting. Other business meetings may be called by the President with the approval of the Chapter Executive Committee. Chapter business may be brought up at any scheduled technical meeting. Business meetings shall use Robert's Rules of Order as a reference for parliamentary authority. Forvoting purposes, a quorum of the Chapter shall be defined as 25 percent of the membership.

ARTICLE 3 - OFFICERS AND EXECUTIVE COMMITTEE

Section 1 - Qualifications of Officers
The officers of the Chapter shall include a President, a Vice President, a Secretary, and a Treasurer. At least half of these officers shall be members in good standing of the Acoustical Society of America. The Chapter Executive Committee shall consist of the aforementioned officers, the most recently retired President, and the Chapter Representative to the Acoustical Society of America. The Chapter Representative must be a member of good standing of the Acoustical Society of America.

At the discretion of the Executive Committee, the offices of Secretary and Treasurer my abe held concurrently by one individual. Likewise, the pose of Chapter Representative and another office may be held concurrently by one individual.

Section 2 - Duties of Officers
The affairs of the Chapter shall be managed by the Chapter Executive Committee. Any vacancy occuring in the Executive Committee may be filled for the unexpired term by a majority vote of the remaining members of the Committee. The Committee shall be charged with the determination fo the elegibility of applicants for membership and shall continually strive to increase the membership of the Chapter and encourage membership in the Acoustical Society of America.

The President shall preside at the meetings of the Chatper and the Chapter Executive Committee.

The Vice President shall assume the duties of the President in the absence of the President.

The Secretary shall keep a record of the Chapter affairs, including the minumes of business meetings and Executive Committee meetings, and shall present reports of these records as requested by the President. The Secretary shall handle correspondence, as directed and approved by the Executive Committee. The secretary shall forward to members announcements of forthcoming meetings, shall publish notices in advance of meetings, and shall disseminate to the general public notices of the activities of the Chapter through the appropriate media. Each June the Secretary shall send the Acoustical Society of America a list of the current Chatper membership roster and the names and addresses of the current Chapter officers.

The Chapter Treasurer shall keep the financial and membership records of the Chapter. The Treasurer shall receive and take custody of the Chapter funds and expend the same, as directed and approved by the Executive Committee. The Treasurer shall provide financial reports as requested by the President and shall inform the Acoustical Society of America of the bank name and account number which the funds are held.

The Chapter Representative to the Acoustical Society of America shall serve as the Chapter's point of contact with the parent society's Committee on Regional Chapters. The Chapter Representative shall receive information and requests from the Committee on Regional Chapters and shall communicate these to the Chapter Executive Committee. The Chatper Representative, or another Chapter member substituting in his/her place, is encouraged to attend the meetings of the Committee of Regional Chatpers to express the opinions of the Chapter.

Section 3 - Term of Office
The term of office shall be one year, starting 1 June.

Section 4 - Election of Officers and Executive Committee
Each year a nominating committee shall be appointed by the President, with approval of the Chapter Executive Committee, to propose a slate of officers to serve on the Executive Committee for the following term. Additional nomionees may be proposed by any member of the Chapter. Upon determination of elegibility by the nominating committee, the names of the nominees will be placed on the ballot. A written ballot shall be used for election if there is more than one candidate for any office. The election shall be held prior to 1 June.

The Chapter Representative to the Acoustical Society of America shall be appointed by the Executive Committee. The Chapter Representative can serve successive terms without limitation.

ARTICLE 4 - COMMITTEES

Section 1 - General
In addition ot the Executive Committee, other committees may be constituted as appropriate to assist the Chapter in fulfilling its objectives and executing its business. The Chapter President shall be empowered to appoint permanent and/or ad hoc committee chairs and members with the advice and consent of the Executive Committee.

Section 2 - Executive Committee
The Executive Committee shall carry out or oversee the delegation of all duties assigned by the President, including establishement of the program of technical meetings, selection of speakers, and arrangement for meeting places and the necessary equipment to conduct technical meetings.

ARTICLE 5 - AMENDMENT

These Bylaws may be altered or amended by a two-thirds vote of the members voting, in person or by absentee ballot, at a scheduled meeting, provided that
  1. approval of the proposed change ahs been obtained form the Executive Council of the Acoustical Society of America at least thirty days previously and
  2. notice of the proposed change and of the meeting at which it is to be considered has been given to all Chapter members at least twenty days previously.
